Welcome to Chronicaly (“Service”), operated by Cloud Appz Software, Inc. (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, applications, and services.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Description of the Service

Chronicaly is a cloud-based mobile operations platform that allows businesses to manage appointments, resources, and services, and allows customers to request or book appointments through public or private booking interfaces.

The Service may evolve over time, and features may be added, removed, or modified.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service.

By using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Accounts and Access

Some features require creating an account.

You agree to:

  • Provide accurate and complete information

  • Maintain the security of your login credentials

  • Promptly notify us of any unauthorized use

You are responsible for all activity that occurs under your account.

4. Customer Bookings and Responsibilities

For Businesses

Businesses using the Service are solely responsible for:

  • The accuracy of their availability, services, pricing, and policies

  • Communications with their customers

  • Fulfillment of scheduled appointments

For End Users (Customers)

Customers booking appointments:

  • Do so directly with the business

  • Acknowledge that Chronicaly is not responsible for service delivery, cancellations, disputes, or outcomes

5. Payments and Subscriptions

If applicable:

  • Subscription fees, billing cycles, and payment terms will be disclosed prior to purchase

  • Fees are non-refundable unless otherwise stated

  • We may change pricing with reasonable notice

Failure to pay may result in suspension or termination of access.

6. Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes

  • Attempt to gain unauthorized access to systems or data

  • Interfere with the performance or security of the Service

  • Upload malicious code or content

We reserve the right to suspend or terminate accounts that violate these Terms.

7. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect data.

Businesses are responsible for complying with applicable privacy and data protection laws in their use of the Service.

8. Intellectual Property

All software, trademarks, logos, and content provided by the Service are owned by or licensed to the Company.

You are granted a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

You may not copy, modify, distribute, or reverse engineer any part of the Service.

9. Service Availability and Modifications

The Service is provided on an “as is” and “as available” basis.

We do not guarantee uninterrupted or error-free operation.

We may:

  • Modify or discontinue features

  • Perform maintenance or updates

  • Suspend service for operational or security reasons

10. Disclaimers

To the maximum extent permitted by law:

  • We disclaim all warranties, express or implied

  • We do not guarantee business outcomes, revenue, or booking volume

  • We are not responsible for disputes between businesses and customers

11. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Loss of profits, data, or business opportunities

  • Service interruptions or data inaccuracies

Our total liability shall not exceed the amount paid to us in the preceding 12 months.

12. Indemnification

You agree to indemnify and hold harmless the Company from claims arising out of:

  • Your use of the Service

  • Your violation of these Terms

  • Your interactions with customers or third parties

13. Termination

We may suspend or terminate your access:

  • For violation of these Terms

  • For non-payment

  • At our discretion with reasonable notice

Upon termination, your right to use the Service ends immediately.

14. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

15. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

17. SMS and Text Messaging

Chronicaly offers an optional Multi-Factor Authentication (MFA) feature that uses SMS text messages to deliver one-time authentication codes to your registered mobile phone number. Participation in SMS messaging is entirely voluntary and is never a condition of using the Service.

Opt-In: To use SMS-based MFA, you must first verify that your phone number belongs to you by receiving and confirming a verification code. You must then separately opt into MFA by reviewing and agreeing to the SMS terms presented within the application before the feature is activated.

Message Frequency: When MFA is enabled, you will receive one (1) SMS message per login attempt containing your authentication code. You may also receive one (1) SMS message when verifying your phone number. Message frequency depends on your login activity.

Message and Data Rates: Message and data rates may apply based on your mobile carrier plan. Chronicaly is not responsible for any charges imposed by your carrier.

Opt-Out: You may disable SMS-based MFA at any time by navigating to your user profile within the application and selecting "Disable MFA." You may also reply STOP to any SMS message to cancel. After opting out, you will no longer receive SMS authentication messages. Note that disabling MFA will remove the additional authentication layer from your account.

No Marketing Messages: We do not send promotional or marketing SMS messages. All SMS messages sent through this feature are strictly transactional and limited to account authentication.

Privacy: Your phone number and SMS consent are governed by our Privacy Policy at https://www.chronicaly.com/privacy-policy. We do not sell or share your phone number with third parties for marketing purposes.
